Heat oven to 250°F. Place popped popcorn and nuts in large roasting pan.
Combine brown sugar and butter in 1-quart saucepan. Cook over medium heat, stirring occasionally, 4-5 minutes or until mixture comes to a full boil. Boil 1 minute.
Pour butter mixture over popcorn; stir to coat.
Bake, stirring every 10 minutes 30-35 minutes. Immediately spread popcorn on waxed paper to cool.
